In the context of Malaysia, education has been earmarked as one of the important national agenda in line with the 11th Malaysia. Plan that is designed to make the country a knowledge-based economy. Despite the fact that private higher education is a growth industry, is internationally competitive, and at times highly profitable, this sector has not been well researched (Heaney, Ryan & Heaney, 2010). There is little understanding of what the private higher education sector is and how it competes in the broader international higher education sector. Therefore, this research expects to develop a comprehensive model which best suits private higher education institutions need to enhance their performance. This will in tum enable the nation to realise its goal of becoming a developed nation by enhancing national economic growth and competitiveness. The result indicated a positive and significant relationship between process of change, attitude toward change and organizational culture and organizational perfomance. A moderation analysis was employed to test the research model. However, the result indicated that organizational culture does not moderate the relationship between process of change, attitude toward change, dynamic managerial capabilities and organizational performance.
