The approach of the study is field survey method. This study limited to all banks in Kedah and Perlis. Data from 77 pairs of leaders and their immediate subordinates were analysed. The study showed that a majority (64.9%) of leaders' moral development are at the level of post-convensional,while most of the subordinates (46.8%) are at convensional level. Results of the study revealed that leader's and subordinates' ethical behaviours are significantly diferent. Their "Defining Issue Test (DIT)" scores are 67.39 and 57.14 respectively. We also found that correlation between subordinates' ethical behavior and leader's ethical behavior is negative and not significant. In relation to that, the study also found that we have not enough evidence to prove the influence of leader's ethical behaviour on their subordinates' ethical behaviour. However, the leader's ethical behaviour appeared to have the tendency to explain the variance of subordinates' ethical behaviour negatively. The findings also indicate that exposure of the subject of ethics to the subordinates during their study and work show directly influences subordinates' ethical behavior. In addition, the study indicates the need for formal exposure of the subject of ethics among subordinates since it was shown to have a positive correlation on subordinates' ethical behaviours.
