Summary:This study aims to provide the conceptual framework on how corporate governance, specifically on the characteristics of the board of directors, has an impact on the financial well-being of the company. This study also employs a corporate governance perspective to examine the composition of the board and its influence on the financial well-being of the companies. The results of this study will provide practical insights for corporate management, boards of directors, and regulatory bodies. Gaining insight into how corporate governance practices can either alleviate or amplify financial distress which can guide decision-making processes, resulting in the development of more effective risk management strategies, enhancements to corporate governance structures, and ultimately, the improvement of corporate performance and stability.
